I have a flash guestbook that I have to upload to a local cgi file. It's actually 2 files. book.cgi and kitbook.txt. It says to upload both files in ASCII. After the upload it shows only the txt file in ASCII only. Since I have not finished editing the script I need to store I wanted to make sure that the upload was not a problem.

You should upload the files in Text format (Fetch uses the word Text in place of the acronym ASCII). The information in the Kind field of the file list is based on the file name extension; it does not reliably indicate the format of the file.
